These Terms of Service (the “Agreement”) are between you (“You”) and MinnTrust Mortgage, a Minnesota corporation (“MinnTrust Mortgage”), and govern your use of the mortgage services provided by MinnTrust Mortgage, including the processing and management of mortgage loans, advisory services, and all content, tools, and related services provided in connection therewith (collectively, the “Services”).
ACCEPTANCE OF AGREEMENT By accessing and using the Services, You (a) agree to be bound by this Agreement; (b) represent and warrant that You are 18 years old or older; (c) agree to provide true, accurate, current, and complete information as required for the provision of the Services; (d) represent and warrant that You have the power and authority to enter into and perform under this Agreement; and (e) represent and warrant that Your use of the Services will comply with the terms of this Agreement and all applicable laws, including but not limited to Minnesota state laws.
MODIFICATIONS MinnTrust Mortgage may modify this Agreement at any time in its sole discretion. Modifications are effective upon being posted on MinnTrust Mortgage’s website or communicated to You, and will apply to Your use of the Services after any such changes are made. Your continued use of the Services following MinnTrust Mortgage's modification of this Agreement will constitute Your acceptance of the changes.
SERVICES ACCESS AND USE MinnTrust Mortgage grants You a personal, limited, non-transferable, non-sublicensable, and non-exclusive right and license to access and use the Services solely for the purpose of seeking and obtaining mortgage loans and related services offered by MinnTrust Mortgage. You agree not to use the Services for any unlawful purposes or in any way that is prohibited by this Agreement.
TERM AND TERMINATION This Agreement commences on the date You first access or use the Services and continues until terminated by either party. Either party may terminate this Agreement at any time by providing written notice to the other party.
SUSPENSION MinnTrust Mortgage may suspend Your access to the Services if it determines such suspension to be necessary for any technical, security, or operational reason, or if You are found to be in violation of this Agreement.
YOUR CONTENT You may be required to submit certain personal and financial information to use the Services (“Your Content”). You represent and warrant that Your Content is accurate and that You have the right to share such information with MinnTrust Mortgage. MinnTrust Mortgage may use Your Content as necessary to provide the Services to You and as permitted by its Privacy Policy.
INDEMNIFICATION You agree to indemnify and hold harmless MinnTrust Mortgage and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from or in connection with Your use of the Services or violation of this Agreement.
DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. MinnTrust Mortgage DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MinnTrust Mortgage SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.
DISPUTE RESOLUTION Any disputes arising out of or relating to this Agreement will be resolved in accordance with the laws of the State of Minnesota. Exclusive venue for all disputes arising out of or relating to this Agreement will be the state and federal courts located in Minnesota.
MISCELLANEOUS This Agreement constitutes the entire agreement between You and MinnTrust Mortgage regarding the use of the Services. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
